These Terms & Conditions ("Terms") govern your access to and use of the Blkbox Creative Marketplace (the "Marketplace"), including placing orders, making payments, requesting revisions, approving creatives, and downloading final assets.
By proceeding to checkout or completing a purchase on the Marketplace, you agree to be bound by these Terms.
1. About the Marketplace
The Blkbox Creative Marketplace is a platform operated by Blkbox.ai, Inc. ("BLKBOX", "we", "our", or "us") that enables clients ("Client", "you") to purchase advertising and creative services, including but not limited to video ads, voiceover ads, digital human ads, and related creative deliverables.
BLKBOX is the merchant of record for all purchases made on the Marketplace. Your use of the Marketplace is also governed by our Privacy Policy, which explains how we collect, use, store, and protect personal data and creative information.
2. Orders & Checkout
- By placing an order, you confirm that all information provided (including creative requirements and uploaded assets) is accurate and complete.
- Orders are considered confirmed only after successful payment.
- Once an order is placed, it enters production and cannot be cancelled unless explicitly stated otherwise by BLKBOX.
3. Pricing & Payments
- All prices are displayed at checkout and are exclusive of applicable taxes unless stated otherwise.
- Payments are processed securely through third-party payment providers (such as Stripe).
- BLKBOX does not store or process full payment card details.
- We may receive limited payment-related metadata (such as transaction ID, payment status, and billing country) solely for accounting, compliance, and support purposes, as described in our Privacy Policy.
- Failure or reversal of payment may result in suspension or cancellation of the order.
4. Creative Scope & Deliverables
- Deliverables will be produced based on the scope selected at checkout and the information provided by the Client.
- Any requests outside the original scope may require additional fees or a new order.
- Creative timelines are indicative and may vary depending on complexity, revisions, and operational constraints.
5. Revisions Policy
- Each order includes a defined number of revisions, as specified at checkout.
- Revisions are limited to supported elements (e.g., text, end cards, legal text, logos, voiceover, SFX if applicable).
- Requests that significantly alter the original concept or scope may be declined or treated as a new order.
- Unused revisions expire once the final creative is approved.
6. Approval & Download
- Clients must select and approve one final version of the creative to enable download.
- Approval is a one-time, irreversible action.
- Once a creative is approved and downloaded: No further revisions are permitted The order is considered complete
- Other versions (original or revised) will be locked and unavailable for download.
7. Ownership & Usage Rights
- Clients retain ownership of all materials they provide ("Client Content").
- Upon full payment and final approval, Clients are granted rights to use the approved creative for advertising and marketing purposes.
- Drafts, rejected versions, and internal working files remain the property of BLKBOX and may be retained for record-keeping, quality assurance, legal, or compliance purposes, as described in our Privacy Policy.
- Unless explicitly agreed in writing, BLKBOX does not use Client creatives for public marketing or portfolio purposes.
8. Refunds & Cancellations
- Due to the custom nature of creative services, refunds are not provided once production has started.
- Refunds, if any, are issued solely at BLKBOX’s discretion in exceptional circumstances.
- Chargebacks or payment disputes may result in account suspension.
9. Client Responsibilities
You agree to:
- Provide accurate, lawful, and complete information
- Ensure you have the rights and permissions to all Client Content you submit
- Not submit content that infringes intellectual property, privacy rights, or advertising laws
BLKBOX may remove, restrict, or reject content or orders that violate these requirements, consistent with our Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by law:
- BLKBOX shall not be liable for indirect, incidental, or consequential damages
- Liability is limited to the amount paid for the specific order giving rise to the claim
11. Termination
BLKBOX may suspend or terminate access to the Marketplace if these Terms are violated or if misuse is detected.
12. Changes to These Terms
We may update these Terms from time to time. When material changes are made, we will notify you via email or in-app notice where required. Continued use of the Marketplace after updates constitutes acceptance of the revised Terms and the updated Privacy Policy.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.
